Slovak Ready-Made s.r.o. or Starting a New Company from Scratch? A Comparison for Foreign Entrepreneurs in Slovakia

When entering the Slovak business environment, many entrepreneurs face a key decision: should they take advantage of a pre-established Slovak ready-made s.r.o., or should they form a brand-new company from the ground up? Both options have their merits, and the right choice depends on your specific situation, goals, and timeline. Below, we compare the most important aspects of both approaches.

1. Time: Immediate Start vs. Bureaucratic Process

Slovak Ready-Made s.r.o.:
Allows for an almost instant market entry – the company is already registered in the Commercial Register, has a company ID (IČO), tax ID (DIČ), and often a bank account. Once the purchase agreement is signed, the new owner can start operating the company almost immediately.

Setting Up a New Slovak s.r.o.:
Requires more patience – you need to prepare founding documents, fulfill registration requirements, and wait for entry into the Slovak Commercial Register. This process typically takes several weeks.

2. Costs: Higher Entry Price vs. Hidden Fees

Ready-Made s.r.o.:
Usually comes at a higher price, but that often includes legal services, notary fees, registration of changes, and a debt-free guarantee. The advantage lies in saving time and reducing risk.

New Company Formation:
May appear cheaper at first, especially if handled independently. However, don’t overlook notary fees, court registration costs, or legal consultations, which can add up.

3. Customization and Control Over Details

Ready-Made s.r.o.:
Delivered as a pre-configured entity with a basic structure, which can be adjusted (e.g., name, registered seat, business activities). However, it may not fully meet your specific needs.

New Slovak Company:
Gives you full control over every detail – from the company name to internal structure. Ideal for those with a clear business vision.

4. Company History and Reputation

Ready-Made Company:
Most ready-made companies have no business history, but it’s essential to verify this. The benefit is a clean slate with no liabilities.

Newly Established Company:
You can be 100% certain there’s no legal or financial history. You build the company’s identity from scratch.

5. VAT Registration in Slovakia

Ready-Made s.r.o.:
Many of these companies are already registered for VAT, meaning you can issue VAT invoices and claim input VAT from day one.

New Company Formation:
You must apply for VAT registration after formation, which may take several weeks. During this period, you cannot deduct VAT.

6. Share Capital

Ready-Made s.r.o.:
The statutory minimum share capital of €5,000 is already paid in, allowing immediate operations without the need to deposit funds.

New s.r.o. Formation:
The founder must either deposit the capital into a bank account or otherwise prove its payment. This can take time and more paperwork.

7. Market Readiness

Ready-Made s.r.o.:
Ideal for entrepreneurs who need to act fast – for example, to bid in a tender, seize a business opportunity, or launch a partnership without delay.

New Company:
Takes longer to set up, which may be a disadvantage if time is a critical factor.

8. Company Bank Account

Ready-Made Company:
May already have a bank account open – after changing the authorized persons, you can carry out transactions immediately.

New Company:
Requires going through the bank’s onboarding process, which has become stricter in recent years due to AML and KYC regulations.

How to Choose the Right Option?

If you’re looking for a quick and efficient solution that allows you to enter the market with minimal bureaucracy, a ready-made s.r.o. may be the right choice. However, if you have specific requirements and want full control over your company from the start, establishing a new company gives you greater flexibility.

Carefully consider all factors – including your budget, time constraints, and business objectives – before deciding.
