Buy a VAT-Registered Slovak s.r.o. This Week — Why a Ready-Made Company Is the Only Way to Skip the Wait
DISCLAIMER: General legal and tax commentary based on Slovak law in force in 2026. Not legal or tax advice. Verify statutory references on slov-lex.sk and financnasprava.sk. Consult a qualified Slovak lawyer and tax advisor before proceeding.
Let me start with the uncomfortable fact most sellers skip, because it’s the whole reason this page exists.
If you found a supplier who needs a VAT invoice from you next week, and you go and incorporate a brand-new Slovak s.r.o. today, you will not have an active VAT number next week. You probably won’t have one next month either. Under the rules in force since 2025, a newly formed company applying for voluntary VAT registration waits on the tax office, which has a statutory period of up to 21 days to issue its decision — and in practice it often runs a substance check before it does. That’s not a delay you can pay to remove. It’s built into the law.
This is the single reason a ready-made VAT-registered s.r.o. exists as a product. Not to be exotic. To skip a wait the law otherwise imposes on you.
The two clocks: new company vs. ready-made with IČ DPH
Here’s the honest comparison, side by side.
| New s.r.o. + VAT application | Ready-made s.r.o. with active IČ DPH |
| Company exists ~8 to 10 days after signatures of incorporation documents | Already exists, transferred to you in days |
| Active VAT number: up to 21-day decision period, plus possible substance check | VAT number already active on day of transfer |
| Can issue a VAT invoice only once registration is granted | Can issue a VAT invoice from the moment you control the company |
| Substance scrutiny assessed at registration; foreign owners scrutinised more | Already registered — but you inherit its history |
The left column is not a criticism of forming a company. For many people, incorporating fresh is the right, cheaper choice. But if your constraint is time — a deal, a supplier, a tender that won’t wait — the left column simply cannot deliver a VAT number “this week.” The right column can.
What “this week” honestly means
I won’t sell you a fantasy of instant everything. Here’s what actually moves fast and what doesn’t.
Fast: The transfer itself. A ready-made s.r.o. is transferred as a sale of the ownership stake under the Commercial Code. The register entry has declaratory effect, so you can begin receiving payments to the company account from the day you sign the transfer documentation — before the ownership change is even written into the register. The IČ DPH is already active, so you are a VAT payer from day one, not after a 21-day wait.
Not instant: Full banking control. You can receive payments immediately, but disposing of the bank account comes after the change is registered and you take over the account at the bank. If someone promises you same-day full banking control, be skeptical.
So “this week” is true for the thing that usually matters most — being an operational, invoicing VAT payer — and I’d rather tell you the banking caveat now than have you discover it after paying.
Who this is actually for
This page is not for everyone, and pretending otherwise wastes your money.
A ready-made VAT s.r.o. earns its premium in three situations: you have a supplier or customer who needs you VAT-registered now; you found something time-sensitive at a price that won’t hold (the classic is an intra-Community purchase where the seller charges zero VAT to your Slovak IČ DPH); or a counterparty insists on dealing with an already-established entity. If none of those is you, a fresh incorporation is probably the better spend, and I’ll tell you that directly if you ask.
The one thing to verify before you pay
The value of a ready-made VAT company is entirely in the word clean. An active IČ DPH is an asset; an active IČ DPH attached to a company with a messy past is a liability you’d be buying. Before you transfer money, confirm three things in writing: the company has never traded, the IČ DPH is active and verifiable in the EU VIES system, and there are no outstanding VAT obligations or irregularities. A serious provider hands you this without being pushed. If you have to chase it, that tells you something.
The straight version
You cannot buy your way past the 21-day VAT decision on a new company — the law sets that clock. A ready-made s.r.o. with an already-active IČ DPH is the one legitimate way to be an invoicing VAT payer this week instead of next quarter. It costs more than founding from scratch, and it’s worth it only when time is your binding constraint. When it is, it’s not a shortcut — it’s the difference between closing the deal and losing it.
Tell me the deadline you’re working against and whether you need plain VAT registration or an active IČ DPH from day one, and I’ll tell you honestly whether ready-made is worth the premium for your case.
